Overview of Driscoll’s Consumer Advisory Panel
The Driscoll’s Consumer Advisory Panel (“Advisory Panel”) is a program sponsored by Driscoll’s, Inc. (“Driscoll’s,” “we,” “our,” or “us”) through which members of the Advisory Panel (collectively, “Advisory Panel Members,” and individually, a “Advisory Panel Member”, “Member,” or “you”) can earn Consumer Advisory Panel Rewards (“Rewards”) by participating in online surveys.

Membership and participation in the Advisory Panel are subject to these Terms and Conditions (“Terms”) as set out below unless otherwise expressly stated. The Terms govern Driscoll’s relationship with Members of the Advisory Panel, including how Members manage their accounts, participate in Advisory Panel, earn and redeem Advisory Panel points (“Points”) to exchange for Rewards. By signing up and participating in the Advisory Panel, you accept and agree to these Terms. 

Except as otherwise expressly prohibited or limited by applicable laws, Driscoll’s may at any time amend, modify, or supplement the Terms, and the structure for earning Rewards at any time with or without notice, even though such changes may affect the value of Points or the ability to obtain certain Rewards. If the Advisory Panel is terminated, all unredeemed Points and Rewards will be forfeited without any obligation or liability, and no Points claims, and Rewards claims will be honored after the conclusion of the notice period.

Members are responsible for remaining knowledgeable of the Terms and any program rule changes. Your continued participation in the Advisory Panel following the posting of changes to these Terms will be your acceptance of those changes.

These Terms are in addition to the Driscolls.com Terms of Use, which govern your use of the Driscoll’s website.

Membership
To become a Member and participate in the Advisory Panel , you must register and create an account (“Account”) at www.driscollscommunity.ipsos-cd.com.  By creating an Account and/or participating in the Advisory Panel, you represent that you are eligible for participation and you consent to Driscoll’s processing of data you submit to us as a result of your involvement with the Advisory Panel. You further agree to (a) provide true, accurate, current and complete information about yourself as prompted by the Advisory Panel’s account registration process and (b) maintain and promptly update your information to keep it true, accurate, current and complete at all times during your membership.  An individual may only create and maintain one Account.  You are entirely responsible for any and all activities that occur under your Account and you agree to immediately notify us of any unauthorized use of your Account or any other breach of security of which you become aware.

To be eligible for membership and to participate in the Advisory Panel, you must:

• be over eighteen (18) years old;
• have purchased qualifying Driscoll’s products; and
• reside in the United States or Canada.

Participation
Members may log into their Accounts and follow the posted instructions to take satisfaction surveys regarding their experience with Driscoll’s products.  In order to take a survey, you must have purchased and consumed a qualifying Driscoll’s product, which will contain a 16-digit code that can be found at the bottom of the package of each qualifying product.  Each satisfaction survey will prompt you to provide the unique 16-digit code. You may only complete one survey per qualifying Driscoll’s product, and you may not complete more than two surveys per day.

Driscoll’s may also send individual research surveys from time to time by email. Members may participate by following the posted instructions to take the survey regarding the research topic.

Confidentiality
By participating in the Advisory Panel, you may be shown certain confidential and proprietary information that is the property Driscoll’s. This information may include, but is not limited to: experimental or planned concepts; marketing, advertising, and creative strategies and plans; research techniques; product names or attributes; or other nonpublic information.

In exchange for participating in the Advisory Panel, and in light of the confidential information that will be shown, you agree that you will neither use nor disclose to any other person or entity any of the information provided to you in connection with the Advisory Panel program. You also agree that this information will remain the sole property of Driscoll’s, as will your responses to the survey questions, including any ideas or suggestions that may be contained in your responses. 

Conduct and Submissions
You agree that you have all necessary rights and licenses to any information you submit to Driscoll’s through participation in the Advisory Panel, including, but not limited to, photos, recipes, and reviews.  Your participation and any submissions will comply in all respects to the requirements contained in the Driscolls.com Terms of Use, and of particular relevance as part of the Advisory Panel, you will not:

• harm or threaten to harm Driscoll's, Driscoll’s personnel, other Members, or any other individual;
• upload, post, email, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, libelous, invasive of another's privacy, vulgar, obscene, pornographic, hateful, or racially, ethnically, or otherwise objectionable or harmful as determined by Driscoll’s in its sole discretion;
• transmit software viruses, worms, Trojan horses, or any other computer code, files, or programs to interrupt, destroy, harm, or limit the functionality of any computer software or hardware or telecommunications equipment, or use the sites to do so; or
• ·violate or infringe anyone's intellectual property rights, rights of publicity or rights of privacy.

Earning Points
A member will earn 25 Points for each satisfaction survey at www.driscollscommunity.ipsos-cd.com. Members will earn bonus Points for each qualifying research survey. Amount of bonus Points a Member will earn from qualifying research survey will be posted. Points will not be given unless otherwise posted.

Driscoll’s may refuse to honor or recognize any Points which we believe may have been earned in error, or fraudulently. Points have no cash value and may not be redeemed for cash or its equivalent.

Redeeming Rewards
A Member may redeem Points for Rewards. The amount of Points required for redeeming Rewards is subject to the choices available at time of redemption. Rewards are fulfilled in local currency by vendors who do work on our behalf.

In the event Driscoll’s suspects Rewards redemption to be fraudulent, or in violation of the Terms, we reserve the right to withhold or deduct the corresponding Points credit.

Third Parties and Retailer Gift Cards
The third-party vendors and merchants represented are not sponsors of the Rewards or otherwise affiliated with Driscoll’s. The logos and other identifying marks are trademarks of and owned by each represented company and/or its affiliates. Please visit each company's website for additional terms and conditions.

Suspension/Termination
Driscoll’s may suspend or terminate your Membership and/or Account in our sole discretion in the event that (a) we believe that you have violated these Terms; (b) we are unable to verify or authenticate any information you provide to us; (c) we believe that your actions may cause financial loss or legal liability for our customers or to us; (d) your Account is inactive for a period of ninety (90) consecutive days; or (e) for any other reason or for no reason.  Similarly, Driscoll’s may suspend or terminate the Advisory Panel program in its entirety at any time.  In the event of such program termination, the reward redemption rules above still apply.

Limitation of Liability
In no event will Driscoll’s, or any of its officers, directors, employees, shareholders, affiliates, agents, successors or assigns, nor any party involved in the creation or provision of the Advisory Panel, be liable to you or anyone else for any indirect, special, punitive, incidental or consequential damages (including, without limitation, those resulting from lost profits or business interruption) arising out of the participation, inability to participate, or the results of participating in the Advisory Panel (including where Driscoll’s modifies or terminates the Advisory Panel altogether), any websites associated with the Advisory Panel, or the materials, information, products, services, and Rewards provided in connection with the Advisory Panel, whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages.  The foregoing limitations of liability do not apply to the extent prohibited by applicable law.

Privacy
Information collection and use, including the collection and use of personally identifiable information, is governed by our Privacy Policy which is incorporated into and is a part of these Terms.
